LWZ315 Corporations Law
The aim of this unit is to provide a brief overview of partnership law, unincorporated and incorporated associations (other than companies) and relevant legislation. This unit also aims to provide students with an understanding of Company Law appropriate to accountants, including a comprehensive coverage of the major principles underlying company Law with extensive reliance on the Corporations Legislation and appropriate case law. It assists students in developing analytical and practical skills necessary for entry into corporate law legal practice.
This unit covers the priestly 11 requirements in respect to Corporations Law. Topics examined in this unit include:
- Corporate personality.
- The incorporation process.
- The corporate constitution.
- Company contracts.
- Administration of companies and management of the business of companies.
- Duties and liabilities of directors and officers.
- Share capital and membership.
- Members' remedies.
- Company credit and security arrangements.
- Winding up of companies.
This unit will include a comparative transnational and/or international element, where appropriate.
